Brazil's Machado, Meyer, Sendacz e Opice Advogados and Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados have helped cosmetics maker Natura raise US$700 million in a secondary share offering at home and internationally.
 
Mattos Filho and US firm Skadden, Arps, Slate, Meagher & Flom LLP advised Natura and its existing shareholders in the follow-on offer, which closed on 31 July. Machado, Meyer and US co-counsel Shearman & Sterling LLP represented the banks - Itaú BBA, JPMorgan, UBS Pactual and Deutsche Bank.
 
Natura is turning to Mattos Filho's Sergio Spinelli for the second time, as he also arranged its 2004 float on Bovespa. For US advice the company has turned from Simpson Thacher & Bartlett LLP to Skadden's Richard Aldrich – who led the banks' counsel while at Shearman for the IPO.
 
Mattos Filho and Shearman have teamed up again to advise the banks, although Andrew Jánszky has taken over at the head of the team at Shearman. Both US firms ran their teams from their São Paulo offices.
 
Natura's three co-chairs - Antonio Seabra, Guilherme Leal and Pedro Passos - and shareholders Anizio Pinotti and Ronuel Mattos sold 50 million shares, or an 11.5 per cent stake in the company.
 
UBS Pactual has until 28 August to exercise an over-allotment option.
 
Natura raised US$217 million in its IPO in 2004 and is now Brazil's largest cosmetics maker.
