Mattos Filho, Veiga Filho, Marrey Jr e Quiroga Advogados and Davis Polk & Wardwell have helped Eike Batista′s oil & gas company, OGX, issue bonds worth US$2.6 billion on international capital markets.
The issuance′s proceeds will be used to finance OGX′s exploratory campaign
The notes were issued on 26 May, with White & Case LLP and Machado, Meyer, Sendacz e Opice Advogados advising the underwriters, JP Morgan, HSBC, Credit Suisse and Itaú.
Mattos Filho and Davis Polk have advised OGX on a number of capital markets transactions, including its 2008 US$4.1 billion record breaking IPO. White & Case and Machado Meyer also advised the underwriters on that transaction.
More recently, these four firms worked on OGX sister shipping company OSX′s 2010 flotation.
Mattos Filho can also be found advising Batista′s MMX, together with Lefosse Advogados, in another story published today on Latin Lawyer - the final stage of a three part deal with South Korea′s SK Networks.
Batista recently announced that he might float his Colombian coal operations, CCX, as early as 2012; selling as much as 25 per cent of the company for anywhere between US$1 billion and US$1.5 billion.
The notes, which are payable in June 2018, will be offered to qualified institutional buyers in the US under Rule 144A and in other countries under Regulation S.
The proceeds from the issuance will be used to finance the company′s exploratory campaign.
Both Mattos Filho′s Giovani Loss and OGX′s general counsel Jose Faveret are speaking at Latin Lawyer′s Latin American Oil and Gas Conference in Rio de Janeiro on 11 July. PLaces are still available at a discounted rate for early bookings, but for a very limited period.
